はじめに
ニュースに登場するような汚職事件にはしばしば共通性がある:事件の中にいる人は、匿
名の会社、信託組合、その他さまざまな国の法人などの複雑なネットワークを利用し、不法
に得た資金を移転し隠ぺいする。当該者はしばしばプロの仲介サービスや銀行を使い、お金
や資金を動かすか隠すかし、最終的に不動産会社や贅沢品の販売業者などの他の専門家の手
に渡し、あたかも腐敗したプロセスを合法のように見せる。これらの仕組が利用された主要
な例を以下に示す。
・2014 年に展開され、2015 年に複数の有罪判決を導いたブラジルで最も大きな腐敗とマネ
ーロンダリングの事件には、国営大石油会社のペトロブラスや 18 の建設会社が関わってい
た。役員は複数の国におけるダミー会社を通じて賄賂を政治家個人や政党の銀行口座に流し
ていたそうだ。たびたびお金は会計士や弁護士などの「腐敗の進行役」によって受け取られ、
国際財政システムを通して濾過された。
・2014 年ウクライナのヴィクトール・ヤヌコヴィッチ前大統領は、彼がいかにして市民の
支出によって贅沢な暮らしを楽しむことができたかを明かす書類を国に残して逃亡した。ダ
ミー会社の複雑なネットワークの中で名目上の代表を利用し、ウィーンからロンドン、リヒ
テンシュタインへ、ウクライナの公的資金から少なくとも 3 億 5000 万ドルを個人的利益の
ために流用した件への関与をヤヌコヴィッチは隠したそうだ。
・2015 年 6 月、アメリカの司法省は、スポーツマーケティングの役人と現・前国際サッカ
ー連盟(FIFA)役員を告発した。彼らは、少なくとも 1 億 5000 万ドルの賄賂をアメリカを
通して送り出していた。告発により盗まれた資金を隠ぺいし移転していたと主張される方法
と構造が詳細に明らかになった。彼らは、違法な支払いを実行可能かつ容易にするために、
信頼できる仲介業者、銀行、ファイナンシャル・アドバイザー、および通貨ディーラーを巻
き込み様々な構造を利用した。例えば、ダミー会社、名目上の代表者、タックスヘイブンや
その他銀行の秘密が法に守られる国にある匿名銀行口座の設立と使用である。この件におい
て、26 の銀行の名が挙げられた。

国際的に見ると、資産の窃盗やロンダリングの規模は巨大である。国連薬物犯罪事務所
(UNODC)は毎年 8000 億ドルから 2 兆ドルがロンダリングされていると見積もっている。腐
敗した資金の移転やロンダリングにおける、密かに所有され管理される会社やその他の法人
の役割は重要である。世界銀行の調査によると、200 以上の重大な腐敗事件の中で 70 件に
おいて、腐敗した政治家は自分の存在を曖昧にするために秘密の企業を利用した。経済協力
開発機構(OECD)の報告によると、400 以上の賄賂事件の中の 4 分の 1 において、不法なお
金が姿を見せず秘密企業を通して流れていた。その報告書はどのように法執行機関が“子会
社、地元のコンサルティング会社、海外金融センターやタックスヘイブンにある会社、また
は賄賂を受け取った公務員か、賄賂を払った個人または機構のどちらかの実質的所有権の下
に設立された会社”によってだまされたかを示している。
近年、強いコミットメントでこれらの協力手段と信託の悪用の問題と、誰が最終的に所有し
管理し、または利益を得ているのかといった情報の透明化に取り組んでいる。2014 年 11 月
に行われたブリスベンサミットでは、「最優先」と評して、G20 の首脳らが実質的所有者の
透明性にかかるハイレベル原則を採用した。G20 原則は金融活動作業部会(FATF)の勧告を
基にしている。それはマネーロンダリング対策を国際標準にするという決意である。FATF
勧告は 2012 年に強化され、それに応じて法律の枠組みを強化する国があるかもしれない。
G20 原則が法制化され、加盟国でより効果的に執行されることが重要である。2015 年 7 月に、
トランスペアレンシー・インターナショナルは、詳細な国際調査を行い、各国政府がどのよ
うにマネーロンダリング対策の法律の枠組みを設けているかを確認できるよう Techncal
Guide13 を出版した。今回の報告書、『見かけだけ?G20 諸国の実質的所有者の透明性確保
の取組状況調査』では、G20 加盟国が、宣言採択から 1 年経過し法整備その他の関与を実行
しているかどうかを評価した。この基調分析では、年ごとの進歩が監視でき、加盟国の現在
の強制力の程度を識別できる。各国で G20 原則の実務に関わる専門家によるアンケートから
収集したデータを活用している。
この報告書は、実質的所有者の透明性確保を強化するための法整備の余地がある国において
議論を巻き起こすことを目的とする。また、各国のより詳細な分析も掲載する。各国横断の
分析は G20 原則に基づいてどのような法整備をすべきかを識別するのに役立つだろう。トラ
ンスペアレンシー・インターナショナルは、法がある国に対してはその国の司法制度に、不
法な金融の流れを止めるために法執行を強化すること、また、管轄官庁、すなわち警察だけ
でなく税務署や金融庁の業務強化を求める。

それぞれの原則において、質問を通して点数は平均化され、パーセンテージに置き換えられ
る。総合点を算出するために、更に 10 原則すべてのパーセンテージが平均化される。5つ
の枠(0-20%:ほとんど取り組んでいない 21-40%:あまり組んでいない 41-60%:平均的に取
り組んでいる 61-80%:熱心に取り組んでいる 81-100%:とても熱心に取り組んでいる)が
設けられ、それぞれの国の取り組みの質が評価される。原則はあまり考慮されておらず、国
のグルーピングは、2015 年 11 月ブリスベンにて、G20 の首脳陣によって採択された原則に
沿って、実質的所有の法制度の強さを一般的に示すことを目的とする。国はグループの中で
アルファベット順に並んでいる。

イギリスは総合点でとても熱心に取り組んでいるに達した G20 の中で唯一の国である
・イギリスは 10 原則のうち 4 原則においてった。特に実質的所有者に関する情報へのよい
アクセスを要求する原則において、高スコアを獲得した。それは最近、それに関わる公開情
報を所有する登記所を設立するために、法律を採択したからだ。しかしながら、この計測は
イギリスのスコアは国内法だけを対象としており、実質的所有者の基準を扱う及び取引、イ
ギリス海外領土や王室属領に組み入れられた信託は対象としていない。イギリス海外領土や
王室属領での実質的所有者の重要な問題における低いパフォーマンスは、G20 原則のイギリ
スの履行を害する恐れがある。より深い調査が特に本土外の法的基準に関して行われるだろ
う。
G20 中の 3 か国は熱心に取り組んでいる。
・アルゼンチンは、今年の新法の採択によってかなりの進歩をとげた。それは法人登記の際
に実質的所有者の情報を公開することである。
・フランスは、信託における取り締まり業務に関して高いスコアを獲得した。また、金融機
関、会計士、信託や企業サービス業者、不動産会社やカジノなどの特定事業者の義務に関し
ても同様に高スコアであった。
・イタリアは信託に関して改善の余地はあるものの、すべての原則に関して高いスコアを獲
得した。
多くの国は平均的に取り組んでいるに属し、その内容は多様性を持っている。
・ドイツは無記名株式や名目上の代表者の使用に関して問題がある。最近の法律と規制は、
法的主体に実質的所有者の情報を保持するための、マネーロンダリング防止以外の義務を課
していない。権限のある当局によって現状入手可能である情報は、マネーロンダリング防止
の目的に妥当であること、またそれが正確で最新であることの保証がない。この状況は 4 つ
目の EU のマネーロンダリング防止方針(EUAMLD)の国内法化によって改善するだろう。
・インドは近年進歩を遂げた。企業に登記簿に実質的所有者の情報を保持するように求めた
のだ。しかしながら、その情報が確実かつ容易に権限のある当局が入手できるようにするた
めに、改良が必要である。
・インドネシアは金融機関に多大な要求を課している。彼ら顧客を識別するのに使われる書
類を精査し、確認する必要がある。顧客の実質的所有者の特定を要求する、非金融ビジネス
と職業(DNFBPs)のリストは、より拡散される必要があり、また実質的所有者の情報へのアク
セスは保証されるべきである。
・日本は 2015 年の実質的所有者に関する新法採択により進歩した。日本は 3 つの原則に関
して完全に準拠している。しかしながら、それは法人や団体に対して実質的所有者の情報を
保持することを要求しない。
・メキシコは少なくとも高リスクの事例において回収された実質的所有者の情報が個別に特
定されるために、現在の法的枠組みを改善する必要がある。現在のマネーロンダリング防止
システムが金融機関や非金融ビジネスと職業によって集められた情報に頼っていることなど

に関して問題がある。金融機関に課せられた義務である、顧客の実質的所有者を確認するこ
とは、G20 に沿っている。
・サウジアラビアは、企業に実質的所有者の情報を保持すること、また名目上の株主に彼ら
の株を人の代わりに所有していないかを表すことを要求しない。しかしながら、法律は金融
機関にすべての事例においてビジネス関係を結ぶ前に実質的所有者を特定することを求めて
いる。
・南アフリカにある規則は、実質的所有者の定義を与えず、また法人に、法的企業する自然
人に関する情報を保持すること、また金融機関や非金融ビジネスと職業がその情報を集める
ことを要求しない。結果権限のある当局の実質的所有者の情報にアクセスする能力は制限さ
れる。当該国は現在法の修正を議論しており、それによって現在の抜け穴を塞ぐことができ
る。
・トルコは 20 原則の一つのみに沿った国である。企業は実質的所有者の情報を保持するこ
とを要求されない。金融機関に対するマネーロンダリング防止規則、特にハイリスク事例で
の実質的所有者の情報の独立した検証は強化されるべきである。
いくつかの国はあまり取り組んでいないに分けられる。
・オーストラリアは G20 原則の一つしか満たしておらず、現状の法的枠組みの真剣な改善が
必要である。オーストラリアの金融セクターとその外国への魅力の大きさを考慮すると、金
融機関と特定事業者が顧客の実質的所有者を十分に特定する必要がある。
・ブラジルは実質的所有者の定義と、権限のある当局がブラジルで活動する国内と外国の法
人及び取引の実質的所有者を特定できるシステムが欠けている。
・カナダは全く G20 原則に則っていない。登記した企業で法人自身または金融機関、特定事
業者によって集められた情報は、不十分または最新の方法で行われていない。更に、現在の
無記名株式と名目上の株主や理事に関する規則もまた不十分である。
・中国は法人が実質的所有者の情報を収集または保持でき、また金融機関や特定事業者が実
質的所有者を十分に確かめられるうな方法をすぐに採用すべきである。
・韓国はどの G20 原則にも則っていない。実質的所有者の情報は金融機関においてのみ、疑
わしい事例のみで収集されている。特定事業者、名目上の株主に関する法的枠組みは強めら
れるべきである。そうすれば、マネーロンダリングと腐敗を制御できる。
・アメリカはどの G20 原則にも則っていない。アメリカは実質的所有者の的確な定義がなく、
マネーロンダリング防止法がそれに対する大きな落とし穴となっている。顧客の実質的所有
者の特定の要求は法律家、会計士、信託、共同事業主、不動産会社等関係する全ての特定事
業者、より拡大されるべきである。より厳しい規則と要求の開示が名目上の株主との関係に
おいてされるべきである。

全ての G20 原則のスコアを平均化したとき、どの国もほとんど取り組んでいないには該当
しなかった。 しかし、G20 中の 3 か国(EU、イタリア、イギリス)は少なくとも一つの原則
がほとんど取り組んでいないに該当した。
イギリスの海外領土と王立属領
イギリスの透明性に対する協力にも関わらず、英国ヴァージン諸島やケイマン諸島のような
海外領土では、設立企業の実態をあいまいにするベールを作る法システムが敷かれている。
それは主に利益のためであり、現地に居住しない人や企業によって使われている。匿名企業
の利用は実態や資金源のオーナーを偽り、マネーロンダリング調査に対する深刻な障害を設
ける。イギリスは海外領土が不法ロンダリングや腐敗した富に使われるセイフヘイブンとな
ることを避けるために対策を打たなければならない。もし対応が行われなかったら、イギリ
ス国内の実質的所有者の透明性に関する G20 ハイレベル原則の強力な実施に影がかかる恐れ
がある。
重要な分析結果
全ての G20 の国が少なくとも一つの原則において好成績であり、G20 原則のそれぞれが少な
くとも一つの国でよく実施いる。G20 の国はどのように自身のシステムを強化したのかとい
うグッドガバナンスをネットワークを使って共有すべきであり、一方で自国特有のリスクや
背景を踏まえるべきである。
実質的所有者の理解不足と増えるリスク
2 か国(ブラジルと南アフリカ)は正確かつ合理的な実質的所有者の定義をしていなかった。
G20 の中で 13 か国はグッドガバナンスといえる定義をしていた。確実な定義は実質的所有
者の透明性に関するシステムを効果的に働かせるのに必須である。
G20 の国は政策手順に合理的なリスク評価を統合していない。ここ 3 年においてたった 4 か
国だけがリスク評価を実施し、全ての結果を発行している。カナダ、日本、イギリス、アメ
リカである。どのように国内と外国の法人及び取引がマネーロンダリングの手順に使われる
かなど、こにリスクが潜むかの理解がなければ、マネーロンダリングに関する行為を規制し
見つけ出すことはできない。リスク評価は長い政策手順の中に組み込まれ、継続的にマネー
ロンダリング防止規制の更新と、監視の実施をすべきである。

実質的所有者の情報を特定するための不十分な方法の適用
G20 において、たった二つの国(イギリスとインド)だけが、法人に対して実質的所有者を特
定し記録を更新することを義務付けている。企業は法的所有者だけでなく、実質的所有者の
開示を義務づけられるべきである。その情報は正確かつ最新である必要があり、法人が設立
されたときだけでなく、その語も保持されるべきである。特に名目上の代表者を認可すると
きに重要である。アルゼンチン、インド、イギリスのみが株主にもし彼らが第三者のために

株を保有している場合、法人を知らせるように要求している。オーストラリアと南アフリカ
では、それらの要求は公的に認められた企業のみに適応される。アルゼンチンなどの司法で
は、実質的所有者の情報は登記簿に保管されており、名目上の代表者は誰のために活動して
いるのか知らせる必要がある。残念ながら、この調査によると名目上の株主という概念が存

権限ある当局によって、適時に法行使の義務など、関係する正確な実質的所有者の情報にア
クセスすることは、G20 の大多数の国で制限されていた。イギリス、EU、アルゼンチン、イ
ンドでは最近になりアクセスが容易になった。他のほとんどの国では、主要な実質的所有者
の情報源は、金融機関や義務付けられた特定事業者、例えば法律家や会計士、信託、企業サ
ービス業者が収集し保持するデータである。この事実は、権限ある当局による腐敗とマネー
ロンダリングの発見と調査の効果を下げる可能性がある。近年の不祥事によって、金融機関
と特定事業者が実質的所有者を効果的に特定する機会をいくつか逃している。主要な国で特
定事業者によって提出されたレポートで取り上げられた極めて少ない数の疑わしい取引を見
ると、彼らの犯罪に対する効果的な特定能力に疑問がわく。
7 加盟国(カナダ、中国、ドイツ、EU、イタリア、サウジアラビア、トルコ)は未だに無記
名株式の使用と移転を容認している。またそのうち 2 か国(中国とドイツ)では、株式の固
定化や非物質化といったような間違って使われることのないような処置が実施されていない。
G20 中 8 か国(オーストラリア、カナダ、中国、ドイツ、メキシコ、サウジアラビア、韓国、
アメリカ)では名目上の理事と株主を容認しており、彼らに彼らが代わりとなっている名目
上の所有者の開示を要求していない。
金融機関による実質的所有者の不十分な特定
金融機関と重要なビジネスや専門家は、実質的所有者の情報収集において頼りにされている。
しかし彼らは関係ある情報へのアクセスや、強力で十分な検査と証明を実施することの要求
に欠ける。
・金融機関は情報を特定するための適切な手段をとっておらず、しばしば顧客に提供された
情報を額面どおりに受け取る。たった 9 か国(オーストラリア、カナダ、フランス、インド
ネシア、インド、イタリア、日本、サウジアラビア、イギリス)が独立した証明の類を、高
リスクと考えられた事例においてのみ要求する。政府によって集められた情報がしばしば事

PEPs のみ規制されている。

・たとえ近年 TCSPs が深刻な腐敗事例に共謀したことが発覚しても、7 か国では彼らの顧客
の実質的所有者を特定することが法にて要求されていない。7 か国とは、オーストラリア、
カナダ、インド、ロシア、南アフリカ、韓国、アメリカである。イギリスでは政体に主要な
抜け穴がある。つまり、多くのイギリスの TCSPs は顧客の実質的所有者を特定していないの
だ。
・G20 の 7 か国(オーストラリア、カナダ、中国、南アフリカ、韓国、イギリス、アメリカ)
における不動産会社は所有地を売買する顧客に対して、実質的所有者を特定することを法に
よって要求していない。
・G20 中 10 か国(オーストラリア、カナダ、中国、イタリア、インドネシア、日本、メキ
シコ、南アフリカ韓国、アメリカ)の高級品の販売業者は、実質的所有者を特定することを
法によって要求されていない。
方法
質問は G20 加盟国にとって、原則に沿って十分な実質的所有者の透明性に関する法的枠組み
を保持するのに適当な要素であることを図るために作られている。原則における質問数、原
則における有効な点の数はその複雑さや元の原則をおおう問題の数によって様々である。

アンケートはトランスペアレンシーインターナショナルの総会または G20 加盟国中の 19 か
国(アルゼンチン、オーストラリア、ブラジル、カナダ、中国、フランス、ドイツ、インド、
インドネシア、イタリア、日本、メキシコ、ロシア、サウジアラビア、南アフリカ、韓国、

EU では私たちのアンケートが第 4EU マネーロンダリング防止方針の中に条例として採択さ
れた。EU に直接適応しない原則もあった。
最近法制化されたが実施をしていない国では、調査員は現在の法的枠組みを考慮して回答し
た。最近採択された第 4EU マネーロンダリング防止方針の影響下である EU 諸国において、
まだ国内法化していない法規制はスコアに反映していない。
連邦制をとる国は、回答が自治体ごとによって異なる可能性があり、回答は最も多くの法人
が最近合併した州または地方を参照している。
各原則に対して、いくつかの質問のスコアを平均化しており、割合に変換した。国はそれぞ
れの原則に即している程度によって、5つ枠に沿ってグルーピング化される(0-20%:ほと
んど取り組んでいない 21-40%:あまり組んでいない
80%:熱心に取り組んでいる
41-60%:平均的に取り組んでいる
61-
81-100%:とても熱心に取り組んでいる)。最後に、G20 原則を
基にした実質的所有者の透明性の枠組みを全体的にどれほど満たしているのか評価され、同
じ枠でグルーピングされる。
全ての方法、アンケート、それぞれの質問に対するスコア付け基準は付属 1 と 2 にて参照可
能。
限界について
このレポートを通して、トランスペアレンシーインターナショナルは実質的所有者の透明性
と G20 原則によってカバーされる他の分野に関する国内の法的枠組みを測定した。しかしな
がら、法律や規制がどのように現場にて実施されているのか分析するのは、レポートの範囲
を超える。実践における実施と効果を測定する調査等は、この評価を補う重要なものとなる。
私たちの技術的手引きにおいて、詳細にわたる推奨事項が確認できる。
トランスペアレンシーインターナショナルは、政府のウェブサイトまたはレポートににおい
て公開された情報が完全、または正確であるか確認することはしていない。さらに、この評

G20 原則 1:実質的所有者の定義
国々は法人や取引を究極的に所有または管理する自然人である、実質的所有者の定義をすべ
きである。
なぜ定義が重要なのか?
実質的所有者の的確な法的定義は、全ての存在する法主体や義務によって枠組みが作られる。
強力で明確な定義は、権限のある当局や義務を報告する主体などのステークホルダーが、彼
らの義務の範囲を理解するのに役立つ。弱い定義は枠組みの規定と実施において問題があり、
また報告主体の義務をわかりにくくする。
国内法制における実質的所有者の的確な定義は、ただ法的に(紙面上で)使われている人で
はなく、実際に法人の資本を所有し、利用する自然(法でなく)人に焦点を当てるべきであ
る。また、公式な地位を独占しているかどうかにかかわらず、事実上管理をしている人や登
記簿に管理できる地位にいると記載されている人にも注目すべきである。
何をすべきか?
G20 の中でも高スコアを獲得した加盟国は、実質的所有者を直接的または間接的に最終的に
法人及び取引を管理する自然人と定義している。そして所有者の定義に、法的所有に加え他
の方法での管理も含める。比較的低スコアの国々は、おそらく実質的所有者をいくらかの割
合の株を所有するなどの自然人と定義しており、管理が直接的か間接的かといったことや、
所有権株の一定の割合に対する管理が制限されているかなどには触れていない。最も低かっ
た G20 の国々は、実質的所有権の法的定義もなく、また管理に関する要素も含まれていない。

定義においてスコアが 0 である。
総合評価においてとても熱心に取り組んでいると熱心に取り組んでいるに分類された全て
の G20 加盟国は、原則 1 で 100%を獲得している。これは正確で合理的な定義が実質的所有
者の規制枠組みの設置において重要かを示している。確実な実質的所有者の定義を主張して
いた国は、一般的に他より強固な実質的所有者のシステムを構築したようである。総合評価
において取り組みが少ないとされた国の中でオーストラリアだけが原則 1 において 100%を
獲得している。それは 2014 年に存在した欠点に取り組むために法を修正したからだ。
南アフリカに関しては、金融機関が顧客の実質的所有者を特定することが現状要求されてい
ないように、全く定義がない。現在改正中の南アフリカ資金情報センター法は実質的所有者
の定義を含んでおり、もし可決すれば現在の欠点に対処することになる。
ブラジルでは、金融機関に法人の実質的所有者を特定するように要求しているものの、実質
的所有者や最終的な受益者がどう理解されるのか、正確な定義がない。現行の規則は金融機
関が最終受益者である自然人に到達するまで関係者のネットワークをたどるべきとのみ主張
している。
アルゼンチンとイギリス以外の他の全ての国では、実質的所有者はマネーロンダリング防止
に関する義務の話に沿って定義される。アルゼンチンとイギリスでは、最近の法律や解決策
は、会社や会社登記法の中の実質的所有者という概念を含有しており、法的所有と管理を明
確に区別し、義務化されている団体に追加して、会社自身に対して法人の所有と管理構造へ
の明確な理解に対する責任を拡大した。

原則 2:リスクを特定し軽減する
国は異なる種類の人や取引に関連して存在する、また出現するリスクを評価すべきであり、
それは国内外の視点から取り組まれるべきである。
a.リスク評価の適切な結果に関する情報は権限のある当局、金融機関、特定事業者、必要に
応じて、その他の権力にも共有されるべきである。
b.効果的かつふさわしい方法が特定されたリスクを軽減するのに使用されるべきである。
c.国々は高リスクの部門を特定すべきであり、そのような部門には顧客管理が適切に行われ
るべきである。
なぜ重要なのか?
効果的なマネーロンダリング防止制度を設置するのに、どのように国内外の会社とその他の
法取引が自らの司法の下で犯罪目的に悪用されるか、現状の正しい理解が必要である。また
多いなリスクを抱える分野への理解も必要である。その国にある法人と取引の種類、構成や
登録手順、異なる構造、含まれるリスクを明確に理解することは本質的なリスク評価に欠か
せない。もし国がどこにリスクがあるのかを理解していなかったら、マネーロンダリングに
関する攻撃を規制または発見することができなくなる。例えば、ある国では海外合併をした
会社はよく腐敗した手順を浄化するために使用される。よって、政府は国の中で外国企業の
登録や管理に関する正しい政策が保証されるようにする必要がある。リスク評価は、結果に
よって国の腐敗防止、マネーロンダリング防止の政策、法、規制や強制措置を知らせ、監視
するという点において、重要である。2012 年の FATF 勧告にある国内リスクの評価もまた新
しい要求事項である。
何をすべきか?
高得点を獲得した G20 の国々は、ここ 3 年のうちにリスク評価を実施した。それは金融機関、
特定事業者(会計士、弁護士、不動産会社、カジノ等)、外部関係者、市民者会組織との相
談を含むものであった。結果は、高リスク分野の情報を含み、金融機関や特定事業者と話し
合われ、公開された。リスク評価は少なくとも一定の部門や分野を高リスクと特定し、顧客
管理を伴う方法を必要とした。

たった 4 か国だけが完全にリスク評価を行い、公開した。アメリカ、カナダ、イギリスは高
スコアであり、リスク評価を 2015 年 6 月、7 月、10 月にそれぞれまとめ、発表した。日本
は、最新のリスク評価を 2014 年に完成させた。アメリカもカナダも満点を取得できなかっ
たのは、満点を獲得した日本とイギリスのように、外部関係者と相談しなかったからである。
リスク評価はしばしばその場限りの方法で行われるようであり、マネーロンダリング防止規
制枠組みまたは監視の実施の継続的な更新の中に組み込まれてないようだ。しかしながら、
アルゼンチンは公共政策プロセスの中にリスク評価を組み込むために、重要な一歩を踏み出
した。2014 年、資金諜報機関(Unidad de Informacion Financeira)は 2 年ごとにマネー
ロンダリングリスクの評価を行わなければならないとした決議を出した。最初の評価が現在
実行されている。残念ながら、決議案は秘密条項を含み、結果は公表されない。

分野で活動する NGO などの関係者と相談することも重要である。だが、ここ 3 年で行われた
リスク評価のうち、たった 3 か国のみで相談が行われた。

原則 3:実質的所有者情報の獲得
国は法人が国内の実質的所有者の情報を保持し、またその情報が十分、正確かつ最新である
ことを保証しなければならない。
なぜ重要なのか?
実質的所有者の情報が十分であるとは、実質的所有者を特定するのに十分ということである。
それは、実質的所有者の正式名称、証明番号、生誕日、国籍、居住国、どのように管理する
かといった情報である。会社は法的所有者だけでなく、現在の実質的所有者を特定を確実に
すべきである。法人が設立し、その後に及んで、情報は正確かつ最新である必要がある。つ
まり、所有権と管理の構造における全ての変更がすばやく更新されるべきであるということ
だ。よって会社は、情報が正確かつ最新であるように、株主から情報を要求することが可能
であるべきだ。また、株主は会社に実質的所有者の変更を知らせることが要求される。
会社が設立された法管轄地において情報がアクセス可能でなければならない。よくあること
だが、例え会社が物理的にそこに存在していなくてもである。法管轄地における情報の欠落
は必要な時に監督者や行政局が情報を獲得するのを妨げる。

イボリ―の事例:なぜ実質的所有者情報の獲得が腐敗を止めるのか?
ジェームズ・イボリ―はナイジェリアの石油資源豊富なデルタ州の知事を二期務めた。彼は
デルタ州のスポーツスタジアム、学校、病院等のインフラプロジェクトの膨大な契約から数
百万ポンドを取得し、ロンドン裁判所にて有罪となった。イボリ―はデルタ州が所有するナ
イジェリアで最も大きい通信会社の一つである V-Mobile(現 Artel)の株の販売詐欺で儲け
た主要な人物でもあった。当局はナイジェリアの外で 5000 万ポンドの腐敗した資金を特定
できたが、実際の数値は 2 億ポンドを超えるともある。
国を越えた調査により、1912 年 4 月イギリス裁判所にて、13 件のマネーロンダリングにお
いて有罪となった。1999 年から 2004 年頃の詐欺の初期段階において、ジェームズ・イボリ
―は 5000 万ポンドの詐欺を認めた。彼は資金源を隠す何の素振りもなく、ロンドンに自身
の名前と家族の名前を使用し、土地を購入した。イボリ―は後により洗練された方法でロン
ドンをベースに活動するソリシター、企業金融業者、ジャージーをベースに活動する受託業
者のサービスに従事した。元ゴールドマンサックスの投資家がどのように 4 つの会社を登録
するか指導したため、ガーンジーに設立した銀行は彼らに PEPsの会社や口座に対して推奨
されるようなより緻密な顧客管理調査を行わなかった。彼らは彼の愛人、妻、姉妹の名前で、
数々のダミー会社及び口座を利用して金銭の流れを隠ぺいした。そして、金銭をチャンネル
諸島の信託口座やダミー会社の複雑な経路へ通してどこかへ送金した。時にはジブラルタル、
インド、マレーシア、モーリシャスなどの様々な国の商業郵便箱の住所を登録した。そのお
金で、イボリ―は多くの家、高級車、更には 2000 万ドルで自家用ジェットを購入したそう

何をすべきか?
G20の中で高スコアだった国は、法人に対して所有権や管理権を法人に対して行使する自
然人に関する情報を保持することを要求している。また、法人が国内に物理的に存在してい
るかどうかにかかわらず、法人設立国に情報が保持される必要がある。法は、株主に対して
管理が第三者によって管理されているか明言することを要求しており、実質的所有者と株主
に対して所有権と管理に変更があった場合企業に知らせる必要がある。
スコアが中間だった国々は、法人に対して株を保有または管理している自然人に関する情報
を保持するように求めているが、第三者によって管理権が行使された時、いくつかの事例に
関してのみ株主は明言する必要がある。低スコアの国々は法人に対して実質的所有者の情報
を保持することを要求しておらず、任命された株主が他人のために株を所有している場合や、

っている。インドでは、実質的所有者の定義を省いていることや、その定義がマネーロンダ
リング防止に使われているのか明確でないことが、社会法の実施が妨げられていると思われ
る。
第4EUマネーロンダリング防止方針は法人に実質的保有者の情報を保持することを要求して
おり、それは受益権の詳細を含む。この情報は、法人が物理的に存在しているかどうかにか
かわらず、法人設立国内に保持される必要がある。その方針は株主に所有権が変更した場合、
企業に知らせることを求めているが、第三者の代わりに株を保有している場合、それを明言
することを要求していない。
アルゼンチンでは、最近採択された法において、法人が実質的所有者の情報を保持すること
を要求していないものの、会社登記する時に法人にその情報を当局へ明言することを要求し
ている。これは将来的に会社の実際の所有者や管理者に関する情報の入手を確実にするため
に重要な一歩である。
他のすべての国では、法人は株主及び会員の登録を保持することを求められているが、会社
法が法的所有と管理を区別していないように、この登録は法的所有者の名前のみ(自然人の
時も、法人の時もある)である。任命された株主の概念があるほとんどの国では、第三者の
代わりである者を公開する要求がないため、登録は任命された人の名前だけである。アルゼ

G20 原則 4:実質的所有者の情報へのアクセス
国は権限のある当局(法律の施行や起訴当局、監督当局、租税局、金融情報局)が提示十分、
正確かつ最新の法人の実質的所有者の情報にアクセスできるよう、保証しなければならない。
国はこれを法人の実質的所有者の中央機関での登録制度や、その他の適切なメカニズムを通
して実行するとよい。
なぜ重要なのか?
マネーロンダリング防止、腐敗や脱税、節税の管理等の責任ある政府が適時、十分、適法、
正確かつ最新の実質的所有者に関する情報へのアクセスを持つ必要があり、それにより彼ら
は仕事を効果的に進めることができる。情報へのアクセスを阻害するものや情報の移送の遅
れによって、権限のある当局は資金源を追うことが難しくなる。これにより、腐敗や違法行
為に携わるものを見逃す可能性が高くなる。
例として、合衆国司法局による 2015 年 6 月の FIFA の告発がある。盗まれた資金を移送し、
隠蔽するために取られた、ダミー会社や名目上の代表者の利用を含む、その方法や仕組みが
詳細に表された。さらに、その告発はこれらの仕組みが彼らの違法取引の発覚を防止し、こ
れらの活動の手続きの場所や所有権を隠蔽し、継続していくことを促進するために設計され
たと明言している。
何をすべきか?
G20 の中でトップクラスであった国は、法の施行をする全ての主体、租税局、金融情報局は
適時(24 時間以内に)十分、正確(適法かつ正しい)かつ最新の実質的所有者に関する情
報へのアクセスを持つべきであるということを明言している。実質的所有者の本部や、24
時間以内の関係ある全ての情報を含む会社登記が存在するは、高得点を獲得した。その情報
が公開されている場合、点を追加した。公開された、中央機関での登録制度は実質的所有者
の情報を記録するのに最も効果的かつ実践的な方法である。中央機関での登録制度は国の法
律の枠組みとの一致を助け、ダブルスタンダードを避ける。

トップクラスのスコアを獲得した G20 の国は、独立し、信頼ある元の情報を確認することを
登録機関に委託する現行法がある。また、法人に実質的所有者の情報を 24 時間以内に更新
することを要求するものもある。
分散した登録制度、部分的な情報に限られるような国は低スコアとなっている。また、権限
ある当局が、法人やその他の主体によって保持されている情報へのアクセスを持つ国や、長
い期間の後のみアクセスを与える国にも低スコアが与えられている。また確認が疑わしい事
例においてのみ行われる国や、法人に対して長期間をあけて、もしくは特に期間を定めずに
実質的所有者の情報を更新することのみを要求する国も低スコアを獲得している。

この原則は全体的に最も従う国が少なかった。どの G20 の国も 81%以上のスコアで、”と
ても熱心に取り組んでいる”に値しなかった。適時に十分で、正確かつ最新の情報へのアク
セスを提供する方法を作ることは、すべての G20 の国において喫緊の課題である。
ほとんどの事例において、権限のある当局は金融機関と特定事業者に収集された情報のみに
大部分を頼っている。その他の実質的所有者を調査するために使われる情報の元は法人自身
である。だが、これらの多くの法人は実質的所有者の情報を収集し、保持することを要求さ
れておらず、それは先述した原則の議論の通りである。他に共通して使われている情報源は
企業登録制度である。しかしながら、たった3か国しか企業登録制度にて実質的所有者を明
確にしていない。他のすべてでは、最高でも、任命された株主の情報は含むものの、法的所
有権を持つ自然人または法人にのみ言及している。この情報は企業の実質的所有者を特定す
るのに十分だとされるべきではない。
権限のある当局が容易にアクセスできることを保証することに関して以下で示したものが主
要な課題となる。

情報へアクセスするのに不明確な権利
この評価は、権限ある当局が、適時に関係のある正確な実質的所有者の情報へアクセスする
ことが、ほとんどの主要な国において制限されていることを示している。誰が情報へアクセ
スする権利を持っており、またどの時点においてであるかといったことを明示する情報や法
律が欠けている。
トルコはこの分析において最も低いスコアを獲得した。それは実質的所有者の情報にどの当
局がアクセスできるべきかといったことを明言していないからである。法人は実質的所有者
の情報を保持することを求められていない。国にある全ての法人が電子商業登記(MERSIS)
において基本的な(法的な)所有権情報を含む一方で、限られた情報しか記録されていない。
例えば、株主情報や取締役の詳細は登録制度に記録されていない。さらに、登録機関は法人
から提供された情報を確認するという委託を受けていない。法人に関する矛盾する情報を商
業登記と登記官報において矛盾する情報を見つけることも不思議ではない。
オーストラリアでは、どの当局が直接的かつ適時に実質的所有者の情報へアクセスできるの
かを定義する法や規制が現状存在しない。金融機関によって収集された情報は場合によって
は権限のある当局の調査権力を使ってアクセスすることが可能であり、それは当局によって
まちまちである。
中央機関の登録制度やデータベースへの容易なアクセス
最近イギリスで採択された法は企業に対して実質的所有者の情報を保持することを求め、公
開登録制度を設立するとした。この法により、法人組織の実質的所有者に関する情報へのア
クセスが開かれることが期待されている。採択された第 4EU マネーロンダリング防止指針は、
現在 EU 各国で国内法化を行っているところであるが、加盟国に対して、権限ある当局や金
融情報機関、銀行などの義務を負う主体がアクセスできる、実質的所有者の情報を含有する
中央機関の登録制度の設立を要求している。NGO や調査ジャーナリストなどの他の関係者は、
「正当な利益」とわかったとき、登録制度へのアクセスを要求するだろう。全ての EU の国
では、2017 までに完了するよう現在国内法化を行っている。2017 年には、当局によるアク
セスに関して EU 加盟国では改善されるだろう。
他の実質的所有者の情報が収集されている国、アルゼンチンやインドでは、中央の完成した
オンラインデータベースがないため、アクセスが制限されている。アルゼンチンでは連邦レ
ベルで法枠組みが存在するのに対して、中央データベースにて公開するために、多くの地方
は所有権の情報を企業に求める法律を採択する必要がある。インドでは、集められた情報は、
地方レベルの登録所にて、または法人自身より、自分自身で、もしくはリクエストに応じて
アクセスできる。現在の中央データベースは、オンラインでアクセスすることが可能である

実質的所有者の情報が直接入手可能でない国では、企業登録制度にて入手可能である基本的
な法的所有権の情報の質とアクセスの容易さに関して、権限のある当局が企業の最終的な利
得者を調査し、特定しようとするときに障害となる。主要な困難として、情報が集められた
とき、しばしば不完全であり、アクセスが難しく、また異なるデータベースに分けられてい
る。カナダの場合、中央機関の企業登録制度がなく、多くの地方によって集められた情報は
実質的所有者を特定するには不十分である。多くの州では、アルベルタやマニトバ、ケベッ
ク等を除き企業登録は株主の情報さえも含まない。役員の名前のみ記録される。同じように、
アメリカでは法人に対して、設立の際に実質的所有者の情報を公開するよう要求することは
連邦レベルでも州レベルでもない。また、会社の取り組みに関する規則は州レベルで定義さ
れる。このように、アメリカの各州は別々の企業登録制度を持ち、法人からそれぞれ異なる
情報を要求する。デラウェア州などいくつかの州では、株主や役員の情報されも記録されず、
実質的所有者の特定をより難しくしている。
腐敗や犯罪元の発見に潜む「正当な利益」
第 4EU マネーロンダリング防止方針により、加盟国は実質的所有者の情報を含み、権限のあ
る当局、金融情報機関、銀行等義務付けられた当局がアクセス可能な、中央登録制度の設置
を要求された。だが、その方針は加盟国の登録制度が公開されることを要求していない。
「正当な利益」を証明する関係者は、ある程度のアクセスが保証されたほうが良い。ただし、
信託の実質的所有者の情報はこのようにアクセス可能になるべきでない。
だが、EU 加盟国の権限のある当局及び義務付けられた当局のみが登録制度へ直接的にアク
セスできるのか、外国の当局は相互の法的援助の影響に頼る必要があるのか、もしくは「正
当な利益」を主張する必要があるのか、明確でない。これによって、不必要な行政手順を踏
まねばならず、審査が遅くなる。ジャーナリストや、市民社会による独立した審査は、情報
のリクエストを作らなければならないため、難しくなっている。さらに、加盟国によって
「正当な利益」という語がどのように解釈されるのか、不明確である。
正確な情報の収集を、金融機関及び特定事業者に頼っている
ほとんどの国において、実質的所有者の情報は金融機関及び義務付けられた特定事業者によ
って収集され、保持されるものを元にしている。これは権限のある当局による、腐敗やマネ
ーロンダリングの効果的な発見と調査を阻害している。最近のスキャンダルは、金融機関と
ある特定事業者が実質的所有者の身元を正確に把握する機会を失っていることを表している。
多くの国では、特定事業者によって出された疑いのある取引におけるレポートがごく僅かで
あることが示すように、不正を正確に特定する能力が彼らにあるのか疑わしい。

G20 原則6:十分で、正確かつ最新の法的取極めの実質的所有者情報に対する、権限ある
当局による適時のアクセスを確保する。
“国は、法施行期間、検察官の期間、管理機関、税、金融情報機関を含む権限ある当局が、
適時に、十分で、正確な最新の法的取極めの実質所有者に関する情報にアクセスできること
を確保するべきである。”
なぜ大切なのか。
信託受託者は、要求後できれば 24 時間以内に、実質的所有者を適時の方法で特定するのに
必要だと思われるすべての情報を法的機関と共有することを求められるべきだ。これは、調
査の関係で求められている個人を特定または排除するのに必要である。権限ある当局は、信
託受託者、金融機関、そして DNFPBs が持っている信託に関する情報にアクセスするのに
必要な権力と特権を持つべきである。トランスペアレンシー・インターナショナルはまた、
税と法施行の機関も、信託受託者が持つ情報にできれば 24 時間以内に、適時の、できれば
即時的なアクセスを持つべきだと考えるが、この分析の中ではスコアをつけることはできな
かった。
何がなされるべきか?(What should be in place?)
G20 のスコアの上位国は、権限ある当局が実質所有者の情報を要求、アクセスし、信託受
託者や、金融機関や DNFPBs といったそのほかの団体が持つ信託をコントロールすること
ができる法がある。高得点の国では、法が、権限ある当局はアクセスを保障されていると明

わかったこと
信託規制はフランス、サウジアラビア、南アフリカのみで義務付けられているが、必ずし
も実質所有者の情報は記録されていない。第 4 版 EU マネーロンダリング防止方針は信託の
“税効果”との関係から実質所有者情報の登録を必須としている。他の 4 カ国は、資産が登
録されなければならないときや信託に納税義務があるときなど、特定の状況での信託の登録
を必須としている。
南アフリカでは信託受託者は、法によって、信託の証書を高等裁判所長に預けることが求め
られていて、その証書は以下のことを含むことが求められる。受益者の名前と年齢、信託者
のフルネームと身分証明書のコピー、信託業務の口座が保たれる銀行とその支店の名前、信
託に対して直接的、個人的なコントロールを行使するかどうか、もししなければ、どの代理
人や企業がどの程度その人によって指示されてきたのか、という情報である。高等裁判所は
信託登録を信託受託者から提供された情報をともに維持する。信託と信託受託者の管理者も
顧客デューデリジェンスの要件の対象となり、信託に対しすべての団体を特定しその記録を
保たなければならない。
ほとんどの国で、権限ある当局は、信託の所有者に対する調査を行うときに、専門的な信託
または金融機関が集める情報に頼っている。それらの機関は情報を要求するために権力を行
使するかもしれないが、きわめて少ない場合でのみであり、実質所有者情報への適時のアク
セスは保障されていない。韓国では、法に、どの機関が信託に関して実質所有者情報に適時
にアクセスできるかが明示されておらず、要求できる情報も最低限である。
しかし、第 4 版 EU マネーロンダリング防止方針は、信託に警告することなしに alerting
the parties to the trust concerned、権限ある当局と金融情報部門による適時で制限のないア
クセスを国が保障することが求められている。
サウジアラビアでは、監視機関がその監視義務を達成するために情報にアクセスすること
が認められている。サウジアラビア金融機関と資本市場局は、それらの監視機能のために必
要なすべての情報にアクセスする権限が明確に与えられている。
トルコでは国内的な信託法がなく、外国の信託の運用が認められていない。よって、信託の

G20 原則7:金融機関および会社設立に責任を有する者を含む指定費金融業者および職業
専門家(DNFPBs)に対し、カントリーリスクを考慮に入れることを含めた適切な措置を特
定および実施し、実質的所有者を確認することを義務付ける。
“国は、信託や企業サービスプロバイダーを含む金融機関や DNFPBs に対して、顧客の実
質的所有者を確かめるために、カントリーリスクを考慮するなどして、分別のある方法を特
定し実施することを要求するべきだ”
a. 国は金融機関や DNFPBs の実質的所有者へのアクセスの促進を考えるべきだ。
b. 国は、不遵守に対して効果的で適切な量の制止的な制裁を確立して施行するなどして、
これらの義務への効果的な管理を保障するべきだ。
なぜ大切なのか?
腐敗した人物は金融機関に快く彼らのお金を受け取り移動させることを要求し、その過程を
促進するために会計士、弁護士や DNFPBs といった専門的な仲介人の助けを求める。腐敗
した資金は頻繁に不動産仲介人や、カジノ、高級品商人など、他の一連の DNFPBs の手に
最終的に渡る。これは二つの目的がある:無制限に彼らの犯罪行為の収入を享受するため;
資金を洗浄して見かけ上“きれいな”資金としてのちに市場に入るようにするため。
例として、ラトビアにある二つの信託会社が、東ヨーロッパでの政府や投資家からの横領や
武器取引の犯罪行為にかかわった数多くの会社の管理者と株主の名義人を務めた。それらは、
ブリティッシュバージン島、パナマ、キプロス、ニュージーランド、アメリカ合衆国、イギ
リスそしてアイルランドを含む司法権の管轄下にある何百もの会社の名義人を務めた。それ
らの会社の多くは、代わりにその他多くの会社の株主の名義人を勤めた。
加えて、2011年にイギリス金融基準機関によって行われた見直しでは、調査を受けた7
5%の銀行が、腐敗の進行を見つけ止めるための適切な監視の実行に失敗していることがわ
かった。マネーロンダリングを、より有益にならず、より簡単にできなくするために、金融
機関とこの専門家グループは、マネーロンダリングの共犯にならないために監視されなけれ
ばならず、そしてもし法的義務に従わなかったならば、制裁に直面しなければならない。マ
ネーロンダリングを阻止する他の手段の一つとして、顧客が会社を設立したり、また時々の
利用者と取引をしたりする際には、金融機関と DNFPBs が顧客の実質的所有者を特定して
確かめることを求められ、そして既存のマネーロンダリング防止の規制に従って、すべての
疑わしい取引を報告することを求められるべきだ。金融機関や DNFPBs が適切に顧客の所

さらに、金融機関と DNFPBs が、顧客が政府や国の長官や上級政治家、上級政府、司法や
軍部の職員、国営の企業の経営者、または重要な政党の職員といった、PEPs、公的に重要
な役割を持つ個人とその親族や近い関係の個人だった場合には、拡張されたデューデリジェ
ンスを行うことが大切だ。
何がなされるべきか?(what should be in place)
金融機関と DNFPBs は、自身の顧客の実質的所有者の特定を法的に求められるべきだ。規
制されるべき DNFPBs は、最低限でも、カジノ、不動産仲介者、貴重な金属や鉱物の商人、
弁護士、公証人、法人の代わりをしているそのほかの独立した法的専門家、法人にサービス
を提供している信託会社を含む。
高得点の G20 の国は、金融機関と DNFPBs に利用者と顧客の実質的所有者の情報を確認す
ることを求めていて、危険性が高い場合には、これは独立して行われるべきだ。
利用者や実質的所有者が国内外の PEPs や PEPs に近い人物だった場合、取引関係や資金源
に対する同時進行の ongoing モニタリングを含む拡張されたデューデリジェンスが行われ
るべきだ。もし、金融機関または DNFPBs が実質的所有者を特定できない場合、高得点の
G20 の国では取引を続けることが許されないであろう。高得点の G20 の国は、もし実質的
所有者が特定できない場合は、疑いのある取引報告を提出することを求めている。
金融機関と DNFPBs は政府が集めた実質的所有者の情報へのアクセスを持つべきだ。高得
点の国は、無料でその情報をオンラインで利用可能にするであろう。それは例えば、実質的
所有者の登録簿の中で、である。低得点の国は、登録制度の下で、また利用料を払う上で、
その情報を利用可能にするであろう。G20 の国で、要求されたときにのみ、また直接的に
のみ情報を利用可能にした場合、限られた得点が与えられる。
最後に、高得点の国は、金融機関の管理者や上級管理者への制裁の適応を認めている。
現在、金融機関とビジネス/専門家が規制、監視、制裁される方法には、大きな違いがある。
従って、私たちはわかったことを二つのセクションに分けた。

わかったこと 金融機関
金融機関は、不法資金の流れを見つけ阻止するのに重要な役割を果たしていて、適度によく
規制されている。しかし、実質的所有者の情報の特定とアクセス、国内外の PEPs の特定、
マネーロンダリングの要件に従っていないことへの制裁に関わる懸念される数多くの分野が
ある。
ひとつの国は、デューデリジェンスを行った場合顧客の実質的所有者の特定を求められてお
らず(南アフリカ)、三つの国(カナダ、韓国、アメリカ合衆国)はとても限られた必要
条件である。調査をした大部分の国では、実質的所有者の身分の特定と確認が求められてい
るが(例えば、写真つきの身分証明書や住所を証明するための公共料金請求書のコピーを通
して)、11の国(アルゼンチン、ブラジル、中国、メキシコ、ロシア、サウジアラビア、
南アフリカ、韓国、トルコ)では、独立して使われる信頼できる情報源だと確認する法的
必要条件はない。
トルコは、顧客の実質的所有者が PEPs であるかを特定するいかなる手段も要求していない。
カナダでは、特定の条件のもと顧客が海外の PEPs である場合、顧客にデューデリジェンス
の必要条件が適用される。しかし、法的に、金融機関は、顧客または法人の実質的所有者が

国内の PEPs か外国の PEPs であるかを特定することは求められていない。
他の 9 つの国では(中国、フランス、インド、日本、ロシア、南アフリカ、韓国、イギリ
ス、アメリカ合衆国)外国の PEPs のみ規制されている。これは、拡張されたデューデリジ
ェンスの機能は、顧客が国内の PEPs だった場合は適用されないことを意味する。PEPs が
特定され拡張されたデューデリジェンスが必要とされている国々では、たいていの場合、こ
れは、商取引を進めるために上級管理者の承認と資金源への追加の調査、継続したモニタリ
ングを必要とする。
オーストラリアは、2014 年に顧客デューデリジェンスに新たな必要条件を加えていて、こ
れは2016年1月に施行される。その中のひとつは(Among other thing)、金融機関は
それぞれの顧客の実質的所有者をすぐに見つけるべきとされ、その中には実質的所有者のフ
ルネーム、生年月日と住所が含まれる。これは、指定されたサービスが顧客に提供される前
または指定されたサービスが提供されて可能な限りすぐに行われるべきとされている。マネ
ーロンダリング法への改正によって、金融機関は、個人の顧客か実質的所有者が PEPs かそ

くのであれば拡張されたデューデリジェンスと上級管理者の承認が求められる。
8つの国では(オーストラリア、カナダ、中国、日本、ロシア、南アフリカ、韓国、アメ
リカ合衆国)、金融機関は、実質的所有者が特定されていなくても取引を進めることが現在
も認められていて、これらのどの国でも、疑いのある取引の報告を提出しなければならない
理由になることはない。
既存の研究は、たいてい金融機関は、利用者から提供された情報を確認するのに政府からの
利用可能な情報に頼っていると示しているが、イギリスでのみ法規定によって、実質的所有
者の情報への直接アクセスすることが保障されている。第 4 版 EU マネーロンダリング防止

二つの国、オーストラリアと南アフリカでは、金融機関の管理者と上級管理者はマネーロ
ンダリング防止に従わなかったときも個人的にそれに対して責任を負うことはない。その他
のすべての国では、罰金や停職、警告など何らかの刑罰が法によって規定されている。

赤道ギニアの TEODORO OBIANG MBASOGO による金融部門の利用
2000 年代半ば、アメリカの上院上委員会は、赤道ギニア政府が、ワシントン DC にあるリ
ッグズナショナルバンクのたった一つの口座に、7億 US ドルに及びそうな資金を送りロー
ンを受け取っていることに関心を持った。Senate Permanent Subcommittee on
Investigation (PSI) が行った調査で、その銀行は60以上の口座を赤道ギニア政府に対して
開いていて、大統領の Teodoro Nguema Obiang Mbasigo、上級政府職員、他の親族
(Teodoro Obiang Mbasogo を含む)がその中に含まれていた。調査報告によると、その銀
行はオフショア会社を設立して、それらのオフショア会社の名義でその大統領やその息子の
銀行口座を開設していた。その銀行は、また、大統領、その妻、他の赤道ギニアの公務員か
らの預金を何百万ドルも受け取り、法施行を警告することなく、何百もドルもの大金を含ん
だ疑わしい取引を数え切れないほど促進してきた。この PSI の報告は、リッグズバンクは
“自身の銀行が、海外の腐敗の利益を処理したという証拠から目を背け、法執行機関に通告
することなく数え切れないほどの疑わしい取引を可能にした”と結論付けた。リッグズバン
クは、2004年に赤道ギニアの口座を閉め、赤道ギニアとそのほかの口座を管理したとし
て 2500 万ドルの民事罰則金、それに加え、その後、危険性の高い利用者による疑わしい金
融取引の報告を怠ったとして有罪を認め、1600万ドルの罰金に同意した。
二つ目の上院調査は、Teodro Obaing Mbasogo が、マネーロンダリング防止と PEPs のコ
ントロールを避ける支援してもらうために弁護士や不動産と取引代行者(real estate and
escrow agents)を雇い、また危険性の高い国から PEPs によって送られる高額の資金の移
動を検査するための整備がされていないワイヤーシステム wire system を利用することで、
疑わしい資金の中の 1 億 US ドル以上を少なくとも6つの他のアメリカの銀行へ、またはそ
れらを通して動かしたと示している。
わかったことービジネスと専門家
アルゼンチンは、ビジネスと専門家に対して、管理者や上級管理者がマネーロンダリング防
止の法的枠組の適用を失敗した場合への適切な制裁も含め、金融機関と同等に規制するよう
になってから、よりよい得点を獲得している。彼らはまた DNFPBs を FATF の推奨を超え
る定義をしていて、マネーロンダリング防止法にさらに包括的なグループを対象としており、
それにはヨットや車、飛行機などの高級品の取引人、芸術品取引人、装甲した交通企業
(armoured transportation companies)、美術品のオークションや送金の中での私的な販売
なども含まれている。
しかし、5つの国で(オーストラリア、カナダ、中国、南アフリカ、アメリカ)は
DNFPBs に顧客の実質的所有者を特定することを求める法的規制がない。たとえば、アメ
リカや南アフリカといったこれらのうちのいくつかの国では、DNFPBs はマネーロンダリ
ング防止のために義務はあるが、実質的所有者の情報を特定し確かめることは求められてい

部門ごとの DNFPBs
・ オーストラリア、カナダ、インド、ロシア、南アフリカ、韓国、アメリカの信託会社は
法的に利用者の実質的所有者を特定することは法的に求められていない。12の国は適
切な?in place マネーロンダリング防止の義務があるが、状況は様々で、いくつかの国
では重大な抜け道がある。
例えば、イギリスでは、信託会社に対するマネーロンダリング防止制度に主要な抜け道があ
り、“現行の商的取引関係”を開始するときには、信託会社はデューデリジェンスのチェッ
ク(実質的所有者の特定を含む)をすればよいだけである。信託会社は、もし会社をただ加
入させる場合は、これは限界以下の一方的な取引であるとし、利用者へのデューデリジェン
スを実行しなくていいという立場をとってきた。
いくつかの国では信託会社は他と区別されたカテゴリーではなく、そのため規制は、弁護
士や会計士、公証人、他の専門家が信託会社のビジネスサービスを提供するときに彼らに対

・ G20 の中の 7 つの国(オーストラリア、カナダ、中国、南アフリカ、韓国、イギリス、
アメリカ)の不動産取引代行者は、財産の売買をする顧客の実質的所有者の特定を法的
に求められておらず、これは、腐敗した資金や出資元のわからない資金がニューヨーク
やロンドンといった都市での最高級の不動産の市場に入ることができるため容易になっ
た、近年明るみに出てきた主要なスキャンダルがあるにも関わらず、である。

不動産部門に注目して
トランスペアレンシー・インターナショナルは、不動産の、自らの実質的所有者を知らない、
または確かめていない顧客と取引先に関わることで、汚職とマネーロンダリングを促進して
しまう役割を懸念する。G20 の中の7つの国(オーストラリア、カナダ、中国、南アフリ
カ、韓国、イギリス、アメリカ)では、不動産取引代行者は、財産の売買をする顧客の実
質的所有者を特定することを法的に求められていない。
中でも特に懸念されるのは、不動産がそのとき特例とされ、マネーロンダリング防止の必要
条件のいくつかが外されてきたことだ。アメリカでは、愛国者法への一時的な免除が200
2年に不動産業界に認められ、これは、代行者は買付資金の出所と実質的所有者への身辺調
査の実行を免除されたことを意味する。この年より前に、ニューヨークタイムズのシリーズ
“秘密の塔(Tower of Secrecy)”では、ニューヨークにある何億にも相当する高級不動産
が、いかに匿名の会社を利用した個人によって購入されていたかが、汚職とその他の犯罪へ

リアの不動産は海外の汚職の手続きにとって魅力的な行き先であると述べられた。オースト

トランスペアレンシー・インターナショナル・フランスが2008年に批判 complaint した
のち、フランスの関係当局は、ガボン、コンゴ共和国、赤道ギニアの公務員に対する調査を
開始した。フランスの関係当局は、Sassou Nguesso 家族は、フランス領内で 6000 万ユー
ロを資産と他の高級品に使ったと考えている。この調査の結果、2015 年 2 月にパリ付近で、
15 の高級車が Sassou Nguesso 家族から取り上げられた。8 月 15 日には、法廷からの推薦
court referral が二つのパリ付近の高級資産に出された。フランスの関係当局は、休眠会社
(shell company)の裏の実質的所有者は、コンゴ共和国大統領の甥である Wilfrid Nguesso
だと考えている。

なぜ大切なのか?
実質的所有者の情報や実質的所有者を特定するのに役立ちうる情報を持つ国内関係当局が協
力し合うことは必須である。そのため、政府は、どの機関が(partied/bodies)が基本的な
また実質的所有者の情報を保持する義務があるかに関してよく理解されていることを確保す
るべきだ。これはまた、作業と情報源の重複を避けることも助ける。

高得点の国は、国内の機関同士での情報共有に何の制限もなく、その情報へのアクセスも効

低得点の国は、国内の関係当局が実質的所有者情報へアクセスする際に、請求書や了解覚書

国際協力に関して、高得点の国は、海外の司法権からの要請を誘導する手続き上の明確な必
要条件を持っている。高得点の国は、国際的な要求に応えるために、関係当局が調査権力を
使うことを認める法律がある。低得点の国は、よい協力や情報の共有を妨げる重要な法的制
限がある。
さらに、トランスペアレンシー・インターナショナルは、実質的所有者情報へのアクセスの
確保が、海外の法執行機関が慎重に短時間で関連する情報にアクセスできることで、国境を
越えた調査を助けると考える。実質的所有者情報を含む公的な登録簿は、長々しい相互の法

体に、実質的所有者の情報を保持したり、実質的所有者の情報を本社や許認可機関に届け出た
りすることを求めていない。それでも「実質的所有者」の定義を改め、外国PEPへ厳格な取引
時確認を求めるようにしたことで2015年に大幅に改善した(国内PEPではないことは問
題)。今後の優先課題として、日本は実質的所有者の情報を集めて検証し、国内外の関係機関
が簡単にその情報を使用できるようにすべきである。
Canada does not fully comply with any of the G20 Principles. The ability of competent
authorities to access beneficial ownership information is seriously restricted by the fact that
the information collected in company registries, by legal entities and arrangements
themselves or by financial institutions and DNFBPs is either inadequate or not made
available in a timely manner. Moreover, current rules on bearer shares and nominee
shareholders and directors are also inadequate, allowing beneficial owners to easily hide
their identities.
France is fully compliant with two of the G20 Principles. The ability of competent
authorities to access beneficial ownership could be significantly strengthened with the
establishment of a beneficial ownership registry. Moreover, current rules on financial
institutions and DNFBPs customer and beneficial ownership identification requirements
should be expanded to cover domestic PEPs.
Germany is only fully compliant with one of the G20 Principles. The ability of competent
authorities to access beneficial ownership in the country is significantly restricted,
particularly due to inadequate rules on bearer shares and nominee shareholders and the
lack of a central registry containing beneficial ownership information. There is no
guarantee that the information currently available to competent authorities is adequate for
anti-money laundering purposes, accurate and current. Nevertheless, the implementation
of the Fourth EU AML Directive is likely to improve Germany’s beneficial ownership
transparency legal framework.
Italy is only fully compliant with one of the G20 Principles. The ability of competent
authorities to access beneficial ownership could be significantly strengthened with the
establishment of a beneficial ownership registry. Moreover, current rules on Designated
Non-Financial Businesses and professions (DNFBPs) could be reinforced and enhanced
due diligence requirements should also apply to domestic PEPs. Finally, Italy should
prohibit the issuance of bearer shares.
is fully compliant with three G20 Principles (Principles 1, 2 and 10) but does not require
legal entities or trusts to maintain beneficial ownership information, nor to report beneficial
ownership information to a central company or trust registry. Nevertheless, by improving
the definition of beneficial owner, and adopting requirements for enhanced due diligence
on foreign (but not domestic) Politically Exposed Persons, Japan has made progress in
2015. As a priority, Japan should strengthen requirements on collecting and verifying
beneficial ownership and ensuring that this information is readily and easily available to
domestic and competent authorities.
The United Kingdom is fully compliant with four of the G20 Principles. Amendments to
the Companies Act approved in 2015 addressed many of the previous shortcomings.
Access to beneficial ownership information by domestic and competent authorities as well
as by the public will soon be possible. However, the country still needs to address existing
legal loopholes to ensure that financial institutions and DNFBPs, in particular trust and
corporate service providers and real estate agents, effectively identify and verify the
identity of the beneficial owner of customers.

The United States is not fully compliant with any of the G20 Principles. The US lacks an
adequate definition of beneficial ownership and anti-money laundering laws have key
loopholes such as with respect to the real estate industry. Anti-money laundering rules and
requirements to identify the beneficial owner of clients should also be expanded to all
relevant DNFBPs, including trusts and corporate service providers and real estate agents.
Finally, to avoid the misuse of legal entities and arrangements, stricter rules and disclosure
requirements should be adopted in relation to nominee shareholders.
ANNEX 1: METHODOLOGY
To monitor the extent to which G20 members are fulfilling their commitments and the adequacy of
their beneficial ownership transparency framework, Transparency International conducted an
assessment of the current level of compliance with each of the 10 beneficial ownership principles.
The assessment sheds light on how strong the current beneficial ownership transparency system is
within a country, and which parts of the system should be strengthened.
DATA COLLECTION AND VERIFICATION
All data for the questionnaire was collected by desk research conducted between May and August
2015 by Transparency International national chapters or consultants. The sources consulted
included relevant domestic laws, rules and regulations, as well as available reports and
assessments produced by international and non-governmental organisations. Data for each
question was recorded and the exact sources documented. The research was based on the latest
available documentation. In countries where recent legislation has been adopted but not yet
implemented, the researcher answered the questions by considering the new legal framework. In
EU countries affected by the recent adoption of the fourth EU AMLD, if legislation had not yet been
transposed into national law the commitments are not reflected in the scores. Additional questions
aimed at better understanding the context in these countries were also asked but they were not
scored.
In countries with federal systems, where answers could differ across federal units, the responses
refer to the state/province where the largest number of legal entities are currently incorporated.
All collected data was peer-reviewed by in-country experts and/or pro bono lawyers. The data was
also verified and checked for consistency by the Research and Knowledge Department at the
Transparency International secretariat.
During August and September 2015 draft questionnaires were shared with government officials from
all G20 countries for comments. Officials were given the opportunity to review the data and to
provide feedback or propose corrections. Feedback was accepted until 30 September 2015. Nine
government authorities provided feedback to the questionnaires, including those of Argentina,
Australia, France, Germany, Italy, Japan, South Africa, South Korea and the UK.
QUESTIONNAIRE STRUCTURE AND SCORING
Questions were designed in order to capture and measure the necessary components that should
be in place for a G20 member to be implementing each of the 10 G20 principles to best effect. The
number of questions per principle, and thus the total number of points available per principle, varies
depending on the complexity and number of issues covered in the original principle. Within this
framework, the total number of possible points under each principle also varies.
We used a four-point scoring scale. The model answers pertaining to each are specific to each
question, but the principles underlying each score are, generally, as follows:

For each principle, the scores were averaged across questions and then transformed into
percentages that were converted into grades from “very weak” to “very strong”. Each country
receives a score per principle. Finally, countries were also grouped according to the overall
adequacy of their beneficial ownership transparency framework, based on a simple averaging of
their scores across all G20 principles. The bands and grades are defined as follows:

LIMITATIONS
It is important to note that this research focuses specifically on assessing the legal framework
related to beneficial ownership transparency and it is beyond its scope to analyse how laws and
regulations are implemented and enforced in practice. However, such research would be an
important follow-up to this assessment.
Transparency International has not undertaken to verify whether the information disclosed on
government websites or in reports is complete or accurate. Moreover, this assessment focuses on
what we consider to be the key issues necessary to implement the G20 principles and to ensure an
adequate beneficial ownership transparency framework. There may be other issues that are also
relevant but not covered by this assessment.
Finally, we have not weighted the principles. We are aware that some principles are more complex
than others; however, we do not take a position within this report on whether some are more
important than others. Therefore, the overall scoring is a general analysis of how countries are
performing across all the principles

Guidance: The beneficial owner should always be a natural (physical) person and never another
legal entity. The beneficial owner(s) is the person who ultimately exercises control through legal
ownership or through other means.

Guidance: Countries should conduct assessments of cases in which domestic and foreign corporate
vehicles are being used for criminal purposes within their jurisdictions to determine typologies that
indicate higher risks. Relevant authorities and external stakeholders, including financial institutions,
DNFBPs, and non-governmental organisations, should be consulted during the risk assessments
and the results published. The results of the assessment should also be used to inform and monitor
the country’s anti-corruption and anti-money laundering policies, laws, regulations and enforcement
strategies.

PRINCIPLE 3: ACQUIRING ACCURATE BENEFICIAL OWNERSHIP INFORMATION
Guidance: Legal entities should be required to maintain accurate, current, and adequate information
on beneficial ownership within the jurisdiction in which they were incorporated. Companies should
be able to request information from shareholders to ensure that the information held is accurate and
up-to-date, and shareholders should be required to inform changes to beneficial ownership.
