Susan C. Schwab served as United
States Trade Representative under
President George W. Bush (2006 –
2009). She carried the rank of
Ambassador and was a member of
the President Bush’s Cabinet and
served as the President’s principal trade advisor, negotiator, and
spokesperson on trade issues.

Prior to her appointment as USTR,
Ambassador Schwab served as Deputy USTR with a portfolio overseeing U.S. trade relations with Europe and Eurasia, the Middle East,
and the Americas. In addition she is responsible for USTR operations
involving the WTO and multilateral affairs; services and investment; intellectual property; industry, market access and telecommunications;
and intergovernmental affairs and public liaison activities. Since her
arrival at USTR, Ambassador Schwab has been actively engaged in
the development of U.S. strategy in the Doha Round multilateral trade
negotiations, and successfully concluded bilateral free trade agreements with Peru, Colombia, Panama and South Korea.
Ambassador Schwab served as Dean of the University of Maryland
School of Public Policy from 1995 through 2003. Immediately before
joining the Administration, she held the position of President and CEO
of the University System of Maryland (USM) Foundation and USM
Vice Chancellor for Advancement. Schwab came to the University of
Maryland from Motorola, Inc., where she served as Director of Corporate Business Development, and where she was engaged in strategic
planning and negotiation on behalf of the company in China and elsewhere in Asia. Prior to that appointment she was Assistant Secretary
of Commerce and Director General of the U.S. & Foreign Commercial
Service during the Administration of George H.W. Bush.
Schwab spent most of the 1980s as a trade policy specialist and then
legislative director for Senator John C. Danforth (R-Mo.), playing a
major role in numerous U.S. trade policy initiatives, including landmark
trade legislation that Congress enacted in 1984 and 1988. Previously,
Schwab served as a Trade Policy Officer in the U.S. Embassy in Tokyo.
Her first job was as an agricultural trade negotiator in the Office of the
U.S. Trade Representative.
Ambassador Schwab is a member of the Council on Foreign Relations and a Fellow of the National Academy of Public Administration
(NAPA). She previously served on the Board of Visitors of the U.S. Air
Force Academy, Board of Trustees of the Council for Excellence in
Government and the National Selection Committee for the Innovations
in American Government Awards program. She holds a B.A. in Political
Economy from Williams College, a Masters in Development Policy from
Stanford University, and a Ph.D. in Public Administration and International Business from The George Washington University.
Ambassador Schwab has published articles and a book on U.S. trade
policy and legislation (“Trade-Offs: Negotiating the Omnibus Trade
Act,” Harvard Business School Press, 1994), as well as articles on U.S.–
Japan trade relations, trade politics, and public policy education.
In addition to the time she has spent working overseas, Ambassador
Schwab is the product of a Foreign Service family and grew up in Africa, Europe and Asia. She currently resides in Annapolis, Maryland.

通商政策に関する数多くの法案提出において主要な役割を果たした。それ以
前には、在日米国大使館で通商政策担当官を務めた経験もある。なお、シュ
ワブ大使が米国通商代表部で最初に担当したのは農業貿易である。

Immediate-past Under Secretary, U.S. Department
of Energy
Clarence “Bud” Albright is the immediate-past Under
Secretary of the U.S. Department of Energy. In that role, as
the third most senior official at DOE, he provided leadership
for energy and environment programs, including: energy
research and development; demonstration and deployment;
environmental cleanup; legacy management and radioactive
waste management, all with a total budget of nearly $15
billion. Albright was appointed by President Bush and was
unanimously confirmed by the U.S. Senate. Prior to joining the
Department, Albright served as Staff Director for the U.S. House
of Representatives Committee on Energy and Commerce.
Osamu Goto
General Manager, Overseas External Affairs Division,
Toyota Motor Corporation
Osamu Goto joined Toyota Motor Corporation in April 1979
and dedicated his career to legal affairs for the next 28
years. Mr. Goto had extensive overseas experience both
in Europe and the U.S. in the 1990s. He handled a variety
of legal matters, including multijurisdictional litigation and
international transactions. As a visiting professor from Toyota,
he gave lectures on Corporate Legal Practices at the Graduate
School of Law, Nagoya University, from 2004 until 2007. Since
January 2008, Mr. Goto has been focusing on government
and public affairs in terms of environmental regulations, trade
agreements, human rights, and export controls.
Yasushi Hatakeyama
Managing Director of Lazard & President and
CEO of Lazard Frères K.K.
Yasushi Hatakeyama has a total of 20 years of M&A experience. Having spent 16 years in New York from December
1989 through July 2005, Mr. Hatakeyama is currently based in
Tokyo. Prior to joining Lazard in 1991, he worked in the Mergers
and Acquisitions Group of First Boston, both in New York
and Tokyo. Before initiating Lazard’s Japanese effort in 1999,
Mr. Hatakeyama was a New York-based generalist banker
focusing on a variety of U.S. and European M&A transactions.
He has also advised Japan’s Ministry of Economy, Trade and
Industry (“METI”) on the development of hostile takeover
defense guidelines in Japan. In addition, he is a member of the
Corporate Value Study Group (METI) and the Working Group for
the Reform of Tender Offer Rules (Financial System Council).
Andrew M. Kramer
Partner, Jones Day
Andy Kramer has a wide range of experience in a number of
phases of labor and employment law. He has represented
employers in state and federal courts and before administrative
agencies. Mr. Kramer has negotiated collective bargaining
agreements and has provided counseling and advice on the
development of employment and labor relations strategies for a
broad group of employers across many industry lines.

2007年の間、名古屋大学大学院法学研究科で、客員教授として
「企業法務」を担当。2008年1月以降は、環境規制、通商協定、
人権問題、輸出規制等に関する外国政府、業界団体等との渉外を

畠山　康
ラザード(NY)　マネージング・ディレクター、株式会社ラザード
フレール　代表取締役兼CEO
M&A分野で20年に及ぶ経験を有す。1989年12月から2005年7
月までの16年間をニューヨークで過ごし、現在は東京を拠点にし
ている。1991年のラザード入社以前は、ニューヨークと東京のファ
ースト・ボストンのM&Aグループ勤務。1999年にラザードの日本
事業を立ち上げるまでは、ニューヨークを拠点に、アメリカやヨー
ロッパの様々なM&A重要案件を扱うジェネラリストのバンカーと
して活躍。更に、日本における敵対的買収防衛に関するガイドライ
ンの作成について経済産業省に助言。経済産業省の企業価値研究

Vice President and General Counsel, Procter
& Gamble; former Chairman, U.S. Federal Trade
Commission
Deborah Platt Majoras recently joined The Procter &
Gamble Company as Vice President and General Counsel.
From August 2004 to March 2008, Ms. Majoras served as
Chairman of the Federal Trade Commission. During her
tenure as FTC Chairman, she focused on ensuring data
security and protecting consumers from emerging frauds
such as identity theft, spyware, and deceptive spam. In May
2006, she was appointed by President George W. Bush to
be cochair of his Identity Theft Task Force. Ms. Majoras also
focused on increasing the efficiency and transparency of the
merger review process, implementing sound antitrust policy
regarding intellectual property, increasing efforts to prevent
anticompetitive government policies, and strengthening
cooperation with consumer and competition agencies around
the world.
Elias Mendoza
Managing Director, corporate Development, IBM
Elias Mendoza is Managing Director, Corporate
Development, where he is responsible for a team that
assists IBM in sourcing, executing and integrating nonorganic growth initiatives. Elias joined IBM in February 2006.
Prior to coming to IBM, Elias spent more than 12 years at
Morgan Stanley, most recently as Executive Director in the
Investment Banking Division in Tokyo where he was the Chief
Operations Officer. Elias was also responsible for Morgan
Stanley’s Cross-border Transaction and Private Equity
banking efforts in the region, and previously co-led the
Technology Banking business in Tokyo. Outside of Morgan
Stanley, he worked for the Toronto Dominion Securities in
New York and Toronto focusing on mergers and acquisitions
in the paper and forest products industries.
Douglas L. Peterson
Chairman, Representative Director, President, and CEO,
Nikko Citi Holdings Inc.
Douglas Peterson has been with Citi for more than 23 years,
with extensive overseas experience. Mr. Peterson has served as
CEO of Nikko Citi Holdings since May 2008, when Nikko Cordial
Corporation merged with Citigroup Japan Holdings. Before the
merger, he served as CEO of Citigroup Japan Holdings and also
Chairman of Nikko Cordial Corporation. He arrived in Japan in
June 2004 and served as CEO of Citibank, N.A., Japan Branches
until June 2007. He is a member of Citi’s Senior Leadership
Committee. Mr. Peterson graduated from Claremont McKenna
College in 1980 with a B.A. He received an M.B.A. from the
Wharton School of the University of Pennsylvania in 1985.

Lawrence R. Ricciardi

Larry Ricciardi is a Senior Advisor with Jones Day. He
retired as senior vice president and advisor to the chairman
of International Business Machines Corporation in 2002.
Prior to serving in that role, Larry was senior vice president
and general counsel of IBM, responsible for all of the
company’s legal affairs. In addition, he oversaw IBM’s
worldwide government programs, public policy issues
such as privacy and other consumer-oriented matters, the
intellectual property and licensing function, and the security
organizations. From June 1997 through May 1998, he also
served as chief financial officer responsible for all financial,
treasury, business development, real estate activities, and the
IBM Credit Corporation. Before joining IBM in 1995, Larry was
president of RJR Nabisco Holdings Corporation.
Tadakatsu Sano
Partner, Jones Day
Tadakatsu Sano spent more than 30 years at the Japan
Ministry of International Trade and Industry (“MITI”; now the
Ministry of Economy, Trade and Industry, “METI”). He took
part in the planning of trade policies, industrial policies, and
natural resources and energy policies. Specifically, he was
engaged in the Doha Round negotiations in the WTO and
in the individual trade negotiations with the U.S. and China,
such as Japan-U.S. auto negotiation and semiconductor
talks and Japan-China vegetable items negotiation.
Recently, Mr. Sano has been focusing on risk management
and regulatory compliance. His practice encompasses
security products export control, product safety, foreign
direct investment regulation, and antitrust law.
Masaru Shibata
Managing Director and Head of Mergers & Acquisitions
for Japan, JPMorgan Securities Japan Co., Ltd.
Masaru Shibata joined J.P. Morgan in November 2008 and
has been in the investment banking business for almost 20
years. Mr. Shibata began his career at Goldman Sachs as an
M&A banker in 1989 and was promoted to Managing Director
in the Investment Banking Division in 2001, being a core
member of the M&A group in Tokyo and New York. In 2000,
he became responsible for client coverage in the Financial
Institution Group at Goldman Sachs. In November 2004,
Mr. Shibata joined Lehman Brothers, where he was Head
of Mergers & Acquisitions and Corporate Coverage for all
sectors in Japan. At J.P. Morgan, he serves as a member of
the Japan Business Committee.

佐野忠克
ジョーンズ・デイ　パートナー
1969年に通商産業省（現経済産業省）に入省し、細川総理秘書
官、官房長、通商政策局長を歴任し、2004年に経済産業審議官を
最後に退官した。その間、通商政策・産業政策・資源エネルギー政
策の立案に参画。特に通商分野では、WTOでの貿易ルールの策定
交渉に携わると共に、自動車・半導体・野菜など、対米・対中の個
別貿易交渉においても重要な役割を果たした。現在はリスク・マネ
ジメントとレギュラトリー・コンプライアンスに重点を置き、安全保
障貿易管理、製品安全法制、外国人投資規制、競争法等の分野を
中心に活動している。
柴田 優
JPモルガン証券株式会社、

M&A業務統括責任者
約20年にわたり投資銀行業務分野で活躍。1989年よりゴールド
マン・サックス証券会社のM&A担当として勤務し、2000年より同
社金融法人部長、2001年に投資銀行部門のマネージング・ディレ
クターに昇進し、東京とニューヨークのM&Aグループの中心メンバ
ーとなる。2004年11月にリーマン・ブラザーズ証券会社に移籍し、
全てのセクターのM&A業務とカバレッジを統括。2008年11月に
M&A責任者としてJPモルガン証券株式会社に入社。現在同社のジ
ャパン・ビジネス・コミッティーのメンバーを務めている。

Jayant W. Tambe
Partner, Jones Day
Jay Tambe is a coleader of the Firm’s Financial Institutions
Litigation & Regulation Practice. He concentrates on
litigation involving securities, derivatives, and other
financial products. Mr. Tambe has extensive experience
in class-action litigation under the federal securities laws.
In derivatives litigation, he has represented plaintiffs and
defendants in claims concerning ISDA swap agreements,
including credit default swaps, total return swaps, and
commodity swaps. Mr. Tambe has significant experience
litigating claims involving collateralized debt obligations
(CDOs) and has successfully obtained dismissal of such
claims in the state and federal courts of New York.

Jere Thomson is head of Jones Day’s M&A Practice in North
America and cohead of the corporate practice in the New
York Office. Mr. Thomson relocated to the Firm’s New York
Office in 1996 after spending five years in the London Office
as coordinator of the Firm’s corporate practice throughout
Europe. Prior to moving to London, he was Firmwide head
of Jones Day’s corporate finance practice. Mr. Thomson has
had primary Firm responsibility for supervising a wide variety
of mergers and acquisitions, securities offerings, and related
matters. He has also assisted financial institutions and
investment firms and other significant entities.

Association
Daniel Yager is Chief Policy Officer and General Counsel of
the HR Policy Association. This organization brings together
the chief human resources officers of more than 250 of the
largest corporations in the United States who are concerned
about the direction of human resources public policy and
practices in the U.S. and globally. He is the editor of the
association’s weekly email, This Week in HR Policy, and is the
lead association staff person on labor relations, immigration,
and health-care quality issues. Mr. Yager has been involved
in the legislative arena in Washington since 1976. He joined
the association in 1988 after serving six years on the minority
staff of the House Education and Labor Committee; during
the last three of those years, he served as Minority Counsel.
